Terms & Conditions for Merchant

 
 
 

1. Policies and Terms

 
a. This Terms & Conditions for Merchant (this “T&C”) shall form the fundamental basis for your company to become a merchant for Gotifi.com. Travel Club 360 Sdn. Bhd. and all of its affiliates shall hereinafter be referred as “Gotifi.com”.
 
b. You agree to be bound by this T&C when you use the “Registration as Gotifi.com’s Merchant” webpage at Go TiFi Merchant (this “Registration Page") to submit application materials. To become a merchant of Gotifi.com, you must agree with all the terms in this T&C
 
c. Unless otherwise provided herein, the relationship between Gotifi.com and your company shall be governed by all the terms and policies published and announced on the Gotifi.com webpage at www.gotifi.com and any other platforms created by Gotifi.com (collectively, the “Gotifi.com Platform”), including but not limited to the Terms of Use and Privacy Policies. Gotifi.com reserves the right to amend or update this T&C and the abovementioned terms or policies from time to time and Gotifi.com may publish and announce any amendment or update on the Gotifi.com Platform without prior notice to your company.
 
 
 

2. Becoming Gotifi.com’s Merchant

 
a. Your company must submit true and correct “Company Information” and “Main Contact Detail” in accordance with the instructions on this Registration Page. Gotifi.com has full discretion to review and accept your company as Gotifi.com’s merchant provided that all the required columns on this Registration Page are filled in. To submit the information to Gotifi.com, click the “Sign Up” button on the Registration Page
 
b. After submitting your application, Gotifi.com may request for other necessary documents and information from your company including but not limited to the company registration form, change of company registration form, relevant licenses and certificates issued by the governmental authorities, and all the relevant documents and information of products and services for tourist experience to be provided on the Gotifi.com platform to ensure our customers will enjoy high-quality tourist experience and the products and services provided and for the purposes of establishing a relationship based on mutual trust with your company.
 
c. For the purposes of handling all the matters provided in this T&C and the subsequent merchant management, your company further agrees that Gotifi.com may collect, process and use the personal data of your company or of relevant personnel provided to Gotifi.com.
 
 
 

3. Warranties to Products and Services

 
By becoming Gotifi.com’s merchant, your company warrants as follows in respect of all the products and services provided by your company on the Gotifi.com platform :
 
 
a. that your company has full authority to sell products and services to tourists, and such sale will not infringe any third-party’s rights such as trademark, copyright, patent and trade secret, etc.;
 
b. that the sale of products and services to tourists by your company complies with all the applicable laws and regulations such as consumer protection laws and fair-trade laws, etc.;
 
c. that your company will perform all the contractual obligations for providing the products and services to consumers of Gotifi.com in accordance with the all the transaction terms and commitments as stated on the Gotifi.com platform as well as any applicable laws and regulations; and
 
d. that your company will allow Gotifi.com’s consumers access to consult on your products and services, and that the same will apply even if your company no longer sells such products and services for whatsoever reason.
 
 
 

4. Breaches

 
a. Your company agrees to indemnify and keep Gotifi.com indemnified against all the damages and expenses incurred, including but not limited to fines, penalties, settlements, legal fees, attorney fees, or any expected interests that are lost arising from or in connection with any breach of the terms of this T&C by your company.
 
b. Your company further warrant that your company shall ensure that Gotifi.com, its employees and authorised persons will not suffer any loss or damages from any third party’s claim arising from or in connection with any breach of the representation, warranty, promise or other agreed term provided hereunder and your company shall provide all necessary evidence, explanations, or other assistance to resolve such claims. Any damages or expenses incurred by Gotifi.com, its employees and authorised persons in connection with the above shall be borne by your company.
 
 
 

5. Miscellaneous

 
a. Your company shall not assign to any third party this T&C or any right and obligation hereunder without prior written consent from Gotifi.com, which Gotifi.com may grant or refuse at its sole discretion.
 
b. This T&C is governed by the laws of Malaysia. All disputes arising out of or in connection with this T&C shall be referred to the exclusive jurisdiction of the Courts of Malaysia. The parties further agree to resolve all disputes between the parties in connection with this T&C through amicable negotiations in good faith.
